1. Acceptance of Terms

By accessing and using our website or services, you accept and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

2. Services Description

Nexiva AI provides business automation consulting, workflow automation design and implementation, AI copilot development, and related services. Specific service deliverables, timelines, and pricing are defined in individual service agreements.

3. Client Responsibilities

• Provide accurate and complete information required for service delivery
• Ensure timely access to systems, tools, and personnel required for project completion
• Review and approve deliverables within agreed timelines
• Maintain security of any credentials or access provided by Nexiva AI
• Use delivered automation systems in accordance with applicable laws and regulations

4. Intellectual Property

Upon full payment, clients receive ownership of custom automation workflows built specifically for their business. General methodologies, frameworks, templates, and know-how developed by Nexiva AI remain our intellectual property. We retain the right to use project learnings to improve our services.

5. Payment Terms

Payment schedules are defined in individual service agreements. Standard terms require 50% upfront and 50% upon delivery for QuickStart programs. All prices are in Indian Rupees (INR) unless otherwise stated. GST is applicable as per Indian tax law.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business processes, data, and technical specifications. This obligation survives termination of the service agreement for a period of 2 years.

7. Limitation of Liability

Nexiva AI's liability for any claim arising out of our services shall not exceed the total fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, loss of profits, or data loss.

8. Service Level and Warranties

We warrant that services will be performed with professional skill and care. We do not guarantee specific business outcomes, as these depend on factors outside our control including client adoption, market conditions, and third-party platform behavior.

9. Termination

Either party may terminate a service engagement for material breach with 14 days written notice, if the breach is not remedied. Completed work will be invoiced at the applicable rate. We reserve the right to terminate services for non-payment.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes are effective upon posting to our website. Your continued use of our services constitutes acceptance of the revised terms.
